14. Indemnification

You agree to defend, indemnify, and hold harmless the Clinic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.

15. Governing Law and Jurisdiction

This Agreement and performance hereunder shall be exclusively governed by, and construed in accordance with, the laws of the state of Mississippi (without giving effect to its conflict of laws principles). Any dispute, controversy or claim arising under, out of or relating to this Agreement and any subsequent amendments of this Agreement, including, without limitation, its formation, validity, binding effect, interpretation, performance, breach or termination, as well as non-contractual claims, shall be referred to and finally and exclusively determined by binding arbitration in accordance with U.S. Federal and Mississippi state law and governed by the rules for the International Centre for Dispute Resolution. The place of arbitration shall be Lee County, Mississippi, United States. You waive all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. The language to be used in the arbitral proceedings shall be English.

YOU AGREE TO COMMENCE ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES AND THAT ANY CLAIM BROUGHT THEREAFTER IS NULL AND VOID.

16. Waiver and Severability

No waiver by the Clinic of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Clinic to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
